1. Overview

Welcome to Syrenica.

The terms “Syrenica,” “we,” “us” and “our” refer to the business operating this online store. Syrenica offers this website, including its information, products, features and related services, to you subject to these Terms and Conditions.

Our store is hosted by Shopify, which provides the ecommerce platform that enables us to display products and process orders.

These Terms and Conditions, together with our Privacy Policy, Shipping Policy and Returns and Refunds Policy, govern your access to the website and any order placed through it.

By accessing the website or placing an order, you agree to these Terms and Conditions. If you do not agree, you should not use the website or place an order.

Nothing in these Terms excludes or limits any consumer right that cannot legally be excluded or limited.

2. Store location and sales territories

Syrenica is based in Israel and sells to selected international destinations.

The store is not intended for deliveries within Israel. Orders using an Israeli delivery address may be rejected or cancelled.

The countries to which we currently ship are shown at checkout. The availability of a country or shipping service may change because of carrier restrictions, customs requirements, security conditions or restrictions on transporting perfume and other alcohol-based fragrance products.

We may decline or cancel an order if we cannot lawfully or reasonably ship it to the requested destination. If we cancel an order after payment has been received, the amount paid to us will be refunded.

3. Eligibility and customer accounts

You must have the legal capacity to enter into a binding purchase contract in your place of residence.

When placing an order or creating an account, you must provide information that is accurate, complete and current. This includes your name, email address, telephone number, billing information and complete shipping address.

You are responsible for:

• checking the accuracy of the information supplied;

• keeping any account password confidential;

• preventing unauthorized access to your account; and

• promptly notifying us if you believe that an account has been accessed without authorization.

You may not impersonate another person, use another person’s payment method without permission or provide false information.

4. Independent retailer and brand affiliation

Syrenica is an independent retailer.

Unless expressly stated otherwise on a particular product page, Syrenica is not affiliated with, authorized by, sponsored by, endorsed by, operated by or officially connected with any fragrance, cosmetics, fashion, designer or other brand whose products are displayed or sold through the store.

Brand owners do not operate Syrenica and are not responsible for:

• orders placed through our store;

• payments made to Syrenica;

• delivery or returns;

• customer service provided by Syrenica; or

• statements made by Syrenica.

Brand names, trademarks, logos, product names, packaging and related materials are used solely to identify genuine branded products offered for resale. All trademarks and other intellectual-property rights relating to those brands remain the property of their respective owners.

The appearance of a brand or product on the website does not imply that Syrenica is an authorized retailer or that the brand owner has approved the store.

5. Authenticity

Syrenica sells only authentic products.

We source products from suppliers and commercial channels that we consider reliable. Products may have been distributed originally for different geographic markets and may therefore differ in packaging, labeling, language, barcode, regulatory markings or presentation.

Unless expressly stated otherwise in the product description, products are sold as new.

Some products may be discontinued, older production, vintage stock or difficult-to-find editions. The relevant product page should be reviewed carefully before ordering.

Questions about a particular product should be sent to contact@syrenica.com before the order is placed.

6. Product descriptions and photographs

We make reasonable efforts to describe and display products accurately.

However, the following may vary between production periods, batches and intended markets:

• box design;

• bottle design;

• label positioning;

• barcode;

• ingredient presentation;

• batch-code format or placement;

• cellophane wrapping and seams;

• country-of-origin markings;

• color of the fragrance liquid;

• included leaflets;

• manufacturer address;

• formulation; and

• other packaging details.

Manufacturers may reformulate a fragrance or change its packaging without notifying independent retailers.

Product photographs may be representative rather than photographs of the exact individual unit supplied, unless the listing expressly states that the photographed item is the actual item for sale.

Screen settings, lighting and photography may also affect how colors and packaging appear.

For older, discontinued or vintage products, normal age-related changes may occur in the box, cellophane, label, bottle or fragrance liquid. Any material condition issue known to us will be disclosed where reasonably practicable.

Minor production, packaging or batch differences do not by themselves establish that a product is defective, incorrectly supplied or inauthentic.

If a particular packaging version, batch code, production period or box condition is important to you, contact us before ordering. Do not assume that a representative photograph guarantees a particular production version.

7. Fragrance characteristics and personal preference

Fragrance is subjective.

The perceived scent, projection, longevity and development of a fragrance can vary according to factors including:

• skin chemistry;

• application method;

• quantity applied;

• temperature and humidity;

• storage after delivery;

• reformulation;

• olfactory adaptation; and

• personal expectations or memory of an earlier version.

A customer’s dislike of a scent, or dissatisfaction with its perceived strength, projection or longevity, does not by itself mean that the product is defective or inauthentic.

Product descriptions, fragrance notes and classifications are provided for general identification and guidance. They are not guarantees that every customer will perceive the product in the same way.

Returns remain subject to our Returns and Refunds Policy and applicable mandatory law.

8. Product availability and purchase limits

All products are subject to availability.

Placing a product in your cart does not reserve it. An item may become unavailable before checkout is completed or before the order is accepted.

We may limit the quantity of a product that may be purchased by one customer, household, payment account, delivery address or order.

We may reject or cancel orders that appear to involve:

• fraud or unauthorized payment;

• an obvious pricing or listing error;

• unusually large quantities;

• automated purchasing;

• circumvention of purchase limits;

• prohibited resale or export activity;

• an unsupported shipping destination; or

• another legal, security or operational concern.

9. Orders and contract formation

When you submit an order, you are making an offer to purchase the selected products under these Terms.

An automated order confirmation acknowledges that we received the order. It does not necessarily mean that the order has been accepted.

The order is accepted when we send a shipping confirmation or otherwise expressly confirm acceptance.

Before accepting an order, we may:

• verify the payment;

• verify the shipping address;

• request additional information;

• conduct fraud-prevention checks;

• confirm product availability; or

• confirm that the product can be shipped lawfully to the destination.

We may decline or cancel an order before acceptance. If payment has already been received, we will refund the cancelled amount.

Please review the order carefully before submitting it. Changes or cancellations may not be possible once processing has begun.

10. Prices and currencies

The price charged is the price displayed at checkout when the order is submitted, subject to correction of an obvious error.

Prices, discounts and promotions may change without notice. A later price reduction does not entitle a customer to a retrospective refund or price adjustment.

Prices may be displayed in different currencies. Currency conversion may be performed by Shopify, PayPal or another service provider.

Your payment provider may:

• use a different exchange rate;

• add a currency-conversion charge;

• add a foreign-transaction charge; or

• display the transaction in another currency.

Syrenica does not control charges or exchange rates imposed independently by PayPal, a card issuer, bank or other payment provider.

Promotional offers may be subject to separate conditions. Unless expressly stated otherwise, promotions cannot be combined.

11. Payment

Payments are processed by PayPal or another payment method expressly shown at checkout.

You confirm that:

• you are authorized to use the selected payment method;

• the information provided is accurate;

• sufficient funds or credit are available; and

• the transaction does not violate applicable law.

Syrenica does not receive or store your complete payment-card number, bank-account credentials or PayPal password.

We may withhold acceptance or shipment until payment has been successfully authorized or completed.

If a payment is reversed, cancelled, disputed or found to be unauthorized, we may suspend the order, cancel it or take reasonable steps to recover products or amounts lawfully due.

 

12. Shipping and delivery

Orders are shipped from Israel to the international destinations available at checkout.

Shipping rates, processing times, tracking, estimated transit times, United States DDP shipping, customs charges outside the United States, delivery requirements, delayed parcels and unclaimed or refused shipments are governed by our Shipping Policy, which forms part of these Terms.

Please review the Shipping Policy before placing an order.

Delivery dates are estimates unless expressly stated otherwise. International shipments may be delayed by customs processing, carrier restrictions, aviation-security procedures, weather, public holidays, transportation disruption, security conditions or other circumstances outside our reasonable control.

Customers are responsible for providing a complete and accurate delivery address and for monitoring tracking information.

Nothing in this section or the Shipping Policy excludes or limits any consumer right that cannot legally be excluded or limited.

13. Returns, refunds and cancellations

Returns, refunds, cancellations, damaged or incorrectly supplied products, refused deliveries and unclaimed parcels are governed by our Returns and Refunds Policy, which forms part of these Terms.

Please review the Returns and Refunds Policy before placing an order.

Customers must contact Syrenica before returning a product and must follow the return instructions provided. Products returned without prior authorization, or to an address not approved by Syrenica, may not be accepted.

Nothing in this section or the Returns and Refunds Policy excludes or limits any mandatory right relating to damaged, defective, misdescribed or incorrectly supplied products.

14. Safe use and storage

Use products only for their intended purpose and in accordance with the manufacturer’s instructions and warnings.

Before use, review the packaging and any ingredient or allergen information provided by the manufacturer.

Do not use a product if:

• the packaging appears materially compromised;

• the product causes an adverse reaction;

• you know or suspect that you are sensitive to an ingredient; or

• use would be contrary to medical advice applicable to you.

Avoid contact with eyes, flames, heat sources and other ignition sources. Perfume is generally flammable and should be stored and used appropriately.

Keep products away from children and pets.

Syrenica does not provide medical advice. Questions concerning allergies, sensitivity, pregnancy, medical conditions or ingredient safety should be directed to a qualified healthcare professional.

15. Intellectual property

The original content and design of the Syrenica website—including Syrenica’s own text, graphics, photographs, layout, logos and branding—are owned by or licensed to Syrenica and are protected by applicable intellectual-property laws.

You may use the website for personal, lawful and non-commercial shopping purposes.

You may not, without prior written permission:

• reproduce substantial parts of the website;

• copy or commercially reuse our original photographs or descriptions;

• distribute or republish website content;

• create a misleading copy of the store;

• remove ownership notices;

• use Syrenica branding to suggest affiliation; or

• use website content in a manner that infringes our rights or the rights of another person.

Third-party brand names, trademarks, logos, packaging and product images remain the property of their respective owners. Their appearance on the website is for product-identification and lawful resale purposes and does not imply affiliation or endorsement.

16. Third-party services and links

The website may contain links to, integrations with or features provided by third parties, including Shopify, PayPal, shipping providers and social-media or analytics services.

Third-party services operate under their own terms and privacy policies. Syrenica does not control an independent third party’s website, system, availability or data practices.

A link to a third-party website does not necessarily mean that Syrenica endorses all content, products or services available through that website.

17. Relationship with Shopify

Syrenica is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases made through our store are made directly with Syrenica.

By using the Services, you acknowledge that Shopify is not responsible for any aspect of a sale between you and Syrenica, including injury, damage or loss resulting from a purchased product or service.

To the extent permitted by applicable law, you release Shopify and its affiliates from claims, damages and liabilities arising solely from or relating to purchases and transactions made directly with Syrenica.

18. Privacy

Our processing of personal information is described in our Privacy Policy.

Because the store is hosted by Shopify, Shopify processes certain information concerning access to and use of the store. PayPal independently processes payment information.

Review our Privacy Policy, the Shopify Consumer Privacy Policy and the PayPal Privacy Statement for further information.

19. Errors and corrections

The website may occasionally contain typographical errors, incorrect prices, inaccurate product information, outdated availability information or other mistakes.

We may correct an error or update information without prior notice.

If an obvious pricing or product error affects an order that has not yet been accepted, we may cancel the affected item or order and refund the amount paid.

If an error is discovered after acceptance, we will deal with it in accordance with applicable contract and consumer law.

20. Prohibited uses

You may not use the website:

• for an unlawful or fraudulent purpose;

• to violate another person’s rights;

• to submit false, misleading or harmful information;

• to impersonate another person;

• to interfere with website security or operation;

• to introduce malware or malicious code;

• to attempt unauthorized access to an account or system;

• to harvest personal information;

• to send spam or unsolicited promotions;

• to evade product limits or security controls;

• to scrape or systematically extract website content without permission; or

• to make purchases using an unauthorized payment method.

We may block access, suspend an account or cancel an unaccepted order where reasonably necessary to protect the store, customers, service providers or legal rights.

21. Availability of the website

We do not guarantee that the website will always be available, uninterrupted or error-free.

We may temporarily restrict access for maintenance, security, technical updates or circumstances outside our reasonable control.

We may change or discontinue website features without notice, provided that doing so does not unlawfully affect an order already accepted.

22. Disclaimer of warranties

We do not exclude any warranty, guarantee or legal obligation that cannot lawfully be excluded.

Subject to those mandatory rights, the website and its general informational content are provided on an “as available” basis.

We do not guarantee that:

• the website will be continuously available;

• every error will be corrected immediately;

• general fragrance descriptions will match every customer’s perception;

• every manufacturer will continue producing a particular packaging or formulation; or

• third-party websites or services will remain available.

This section does not affect your rights if a product is faulty, damaged, misdescribed or not supplied as agreed.

23. Limitation of liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot be excluded for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or breach of mandatory consumer rights.

For consumer purchases, Syrenica is responsible for losses that are a foreseeable result of our breach of contract or failure to use reasonable care.

We are not responsible for losses that:

• were not reasonably foreseeable when the contract was formed;

• result from incorrect information supplied by the customer;

• result from the customer’s unlawful or improper use of a product;

• arise from a third-party service outside our reasonable control, except where the law makes us responsible;

• are caused by an event outside our reasonable control; or

• relate to business activity, lost profits or commercial resale where the purchase was made as a consumer transaction.

Where legally permitted and where the buyer is acting wholly for business purposes, Syrenica’s aggregate liability relating to an order will not exceed the amount paid to Syrenica for the product giving rise to the claim.

24. Events outside our reasonable control

We are not responsible for delay or failure caused by an event outside our reasonable control.

Such events may include natural disaster, fire, flood, epidemic, war, terrorism, civil disturbance, government action, customs closure, postal disruption, carrier suspension, aviation restriction, cyberattack, labor dispute or interruption of utilities or communications.

This does not affect any right you may have to cancel because goods are not delivered within a legally required or agreed period.

25. Suspension and termination

We may suspend or terminate access to the website if you materially breach these Terms, misuse the website or create a security or legal risk.

Termination does not affect rights and obligations arising before termination, including payment obligations and provisions that are intended to continue, such as intellectual property, liability, governing law and dispute provisions.

26. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, it will be applied to the maximum extent legally permitted or removed to the minimum extent necessary.

The remaining provisions will continue in effect.

27. No waiver

A delay or failure by Syrenica to enforce a provision does not waive our right to enforce it later.

A waiver is effective only for the specific matter for which it is given.

28. Entire agreement

These Terms, together with the policies expressly incorporated into them, form the agreement between you and Syrenica concerning use of the website and orders placed through it.

They replace earlier discussions or statements concerning the same subject, except for representations or rights that cannot lawfully be excluded.

If a product page, promotion or written agreement contains a specific term that conflicts with a general provision of these Terms, the more specific term will apply to that matter, subject to mandatory law.

29. Assignment

You may not transfer your contractual rights or obligations to another person without our written consent, except where applicable law permits such a transfer.

We may transfer our rights and obligations as part of a lawful sale, reorganization or transfer of the business, provided that this does not reduce mandatory rights relating to an accepted order.

30. Governing law and disputes

These Terms and contracts formed through the store are governed by the laws of the State of Israel.

The courts having jurisdiction at Syrenica’s place of business in Israel will have jurisdiction over disputes, subject to applicable rules concerning consumer jurisdiction.

This choice of law and jurisdiction does not deprive a consumer of mandatory protections or access to courts that cannot lawfully be excluded under the laws applicable in the consumer’s country of residence.

Before beginning formal proceedings, please contact contact@syrenica.com and provide a reasonable opportunity for us to review and attempt to resolve the dispute.

31. Changes to these Terms

We may update these Terms to reflect changes in our store, services, providers, practices or legal obligations.

The current version will be posted on this page with an updated “Last updated” date.

A change will not retrospectively alter the essential terms of an order already accepted unless required by law or agreed with the customer.
